The following terms and conditions (hereinafter “Terms of Service” or “Terms”), govern access to and use of the investory website, including any content, functionality and Services offered on or through investory.io (the “Service“), by the Investory Onlineplattform GmbH (Hintere Achmühlerstr. 1a, 6850 Dornbirn, Austria, support@investory.io). The words “you”, “your” and “user” refer to you, a user of investory.io, as the party agreeing to these Terms of Service. The words “we”, “us”, “our” and any other variation thereof refer to investory or any representative like employees, contractors or managers.

Please read the Terms of Service carefully before you start to use the Site. By accepting the Terms of Service and our Privacy Policy when asked explicitly, you agree to be bound by these Terms of Service. If you do not want to agree to these Terms of Service or the Privacy Policy, you must not access or use the Site.

We may update or change these Terms of Service from time to time without prior notice. You will be notified of any changes and can review the most current version of these Terms at any time at https://investory.io/terms-and-conditions/. The revised terms and conditions will become effective upon posting, and if you use the Service after that date, your use will constitute acceptance of the revised terms and conditions. If any change to these Terms is not acceptable to you, you need to stop accessing and using the Site.

Investory offers Services for data sharing and communication for companies/startups, investors and other key stakeholders. In addition, technology to analyse and aggregate information is used to improve communication and help get an overview of multiple users, companies, investors and other key stakeholders. To improve existing and develop new service offerings, we may create aggregated and anonymized statistics over our user’s data (“aggregate data” as explained below). New features added to, or improved upon are also subject to these Terms of Service.

We grant you a non-exclusive, limited, non-transferable, revocable license to use the Services for your own business purposes.

We provide our Services as a subscription-based Software-as-a-Service model with recurring payments.

Our offered services may require our systems to use, modify, reproduce, distribute, display, publish and process your information/data between our users for the limited purpose of providing our Services. You expressly agree that investory processes the data provided by you as mentioned above, and this permission extends to our affiliates and trusted third parties we work with.

Investory may generate aggregate data on the basis of user provided information, which will not include any personally identifiable information or data (anonymized). Examples of aggregate data include, but are not limited to, statistics aggregated across all our users to improve our service such as engagement, geographic locations and behaviour. Investory is free to use and disclose aggregate data for purposes including, but not limited to marketing, providing information on general industry trends or providing benchmarking analysis.

Investory may offer you certain features or a limited version of the Service on a cost-free basis (“Freemium”). Unless earlier terminated as described in these Terms of Service, you can use the Freemium Services until the current Service offering expires and will not be extended by us or you upgrade to a paid account.

You can terminate your Freemium account and upgrade to a paid services account or add paid functionality to your account, according to our current Service offerings (turning your account into a “Paid Account”).

The fees for our paid services are based on an individual contract or the pricing plan, which is accessible on our website investory.io or part of an individual service offering contract provided by us.

All invoices shall be due no longer than 10 days after receipt.

If you upgrade to a paid account or add paid services to your account, you have to pay the fees according to your individual contract or the pricing plan. Each period, will be renewed automatically until termination. We will inform you at the beginning of the termination period about the automatic renewal and the possibility to terminate the agreement.

You can terminate your paid account at any time with a 4 weeks prior written notice before the end of the regular billing cycle. If you terminate a Subscription in the middle of a billing cycle, you will not receive a refund unless you are terminating the Subscription for any of the following reasons: We have materially breached these Terms and failed to cure that breach within 30 days after you have so notified us in writing; or a refund is required by law.

We are entitled to terminate this agreement or suspend all accounts under that account plan in case you fail to make timely payment, or you violate these Terms of Service.

We may change the fees charged for the Services at any time. For Services billed on an advanced basis, the change will become effective only at the next following billing cycle of your Subscription.

We will inform you with prior written notice of any change in fees to give you the opportunity to terminate your Subscription before the change becomes effective.

All advertised prices shall be net, exclusive of value-added-tax. You’re responsible for all applicable taxes and we’ll charge tax when required to do so.

We do not own and shall not be responsible for any information or data you upload, enter or otherwise authorize us to process during the use of our Site. Therefore, you are solely responsible for the accuracy, quality, integrity, legality, reliability, appropriateness and intellectual property ownership of this information or data.

When creating your account, you must provide accurate and complete information as requested, including information such as your name and contact data. You must keep this information up to date.

After registering, you are responsible for the safety and confidentiality of your password and any other credentials used to access that account. You are responsible for any activity occurring in your account. If you become aware of any unauthorized access to your account, you shall notify investory immediately by mail to support@investory.io. Accounts may not be shared and may only be used by one individual per account.

You are solely responsible for any interactions with other users on investory, please take care to communicate and share information only with people that you know and trust. We reserve the right, but have no obligation, to monitor any disputes between users. Investory shall not be liable for any of our user’s actions or inactions. We do not conduct background checks on users and make no representations as to the correctness of data used at investory by other users.

Investory is available only to Users who are at least eighteen (18) years of age. We may, at our sole discretion, refuse to offer the Service to any person or entity and change its eligibility criteria at any time. If you are using investory on behalf of any entity, you represent and warrant that you are authorized to enter into this Agreement on the behalf of this entity.

Any content that you upload, enter or otherwise authorize us to process is owned by you or you have obtained all permissions, releases, rights or licenses required to communicate over investory without obtaining any further releases or consents.

Your content and other activities in connection with our services, do not and will not violate or infringe any third party’s copyright, trademark, right of privacy or publicity, or other personal or proprietary right, nor does your content contain any matter that is defamatory, obscene, unlawful, threatening, abusive, tortious, offensive or harassing.

The Services are provided “as is”, “as available”, with any faults and without warranties, representations or conditions of any kind. Use of the Service outside of the mentioned service offering is entirely at your own risk.

We do not make any representations, warranties or conditions about the quality, accuracy, security, reliability, completeness, currency or timeliness of the Service. We also do not assume any responsibility for any incompleteness, errors, problems, omissions, inaccuracies or other limitation in, or interruptions in the operation of the Services. This means we shall not be responsible or liable for the unintended deletion, correction, destruction, damage, loss or failure to store any information provided by you.

We are not responsible for defining, establishing and maintaining a reporting framework. While we offer a best practice monthly reporting cycle, the frequency, content and type of communication is not defined/enforced/guaranteed by us. Any reporting requirements need to be established between companies/startups, investors and their key stakeholders irrespectively of investory.

The Service may contain links to third-party websites, Services, special offers, or other events or activities that are not owned or controlled by us. We do not endorse or assume any responsibility for any such third-party sites, information, materials, products, or Services. If you access a third party website from the Service, you do so at your own risk, and you understand that this Agreement and Investory’s Privacy Policy do not apply to your use of such sites. You expressly relieve Investory from any and all liability arising from your use of any third-party website, Service, or content.

Any controversy or claim arising out of or related to the Terms of Service shall be governed by Austrian law. The Commercial Court of Vienna will have exclusive jurisdiction for business customers (except for individual consumers).

If any provision of these Terms of Use is held by a court to be illegal, invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Any attempt to undermine or cause harm to a server or users of investory is strictly prohibited. Should you violate the Terms of Services outlined within, your account may be cancelled without chance of refund.
